Non-profit legal entities can file for re-registration with the Registry Agency even after December 31st, 2022

Non-profit legal entities (NPLEs) listed in the records offices of district courts of justice were required to file for re-registration with the Commercial Register and Register of Non-Profit Legal Entities (CRRNPLE) administered by the Registry Agency by December 31st, 2022. This obligation for re-registration is governed by § 25 of the Law on Non-Profit Legal Entities. The law does not provide for penalties for entities which fail to re-register. To date, based on information from the district courts, some 40,000 foundations, associations, people’s chitalishta [community cultural centers], school boards, local chapters of foreign NPLEs founded prior to January 1st, 2018, have failed to file for re-registration.
The Ministry of Justice does not envision any changes in the Law on Non-Profit Legal Entities to allow for extending the deadline as per § 25 of that Law, in light of the fact that the Ministry has been notified of the decision made by the courts, that should any applications for re-registration continue to arrive after December 31st, 2022, they will continue to issue certificates of current legal status and will transfer the registration files to the Registry Agency.
The filing for re-registration of a NPLE must comprise the following documents:
An application in standard form, supported by the following enclosures:
Certificate of current legal status;
Current Articles of Association or founding act;
Current Articles of Association or founding act with all personal data redacted out;
Declaration as per article 13(4) of the Commercial Register and Register of Non-Profit Legal Entities Act;
Declaration as per article 13(5) of the Commercial Register and Register of Non-Profit Legal Entities Act;
A notarized power of attorney, if the filing is made by proxy.
The application for re-registration and its enclosures may be filed at any regional office of the Registry Agency or electronically.
No notarized power of attorney is required if the filing is made by an attorney-at-law.
The re-registration procedure is free of charge.
